Background:
AKBC's Incorporated Society and Charity registration needs to comply with the Incorporated Societies Act 2022 and the Incorporated Societies Regulations 2023 by April 2026, or cease to exist. The new laws, the first major overhaul since 1908, place more controls on a society’s officers and activities and enhance members’ rights. Accordingly we need to hold a SGM to approve a new Constitution.
A copy of the draft interim Constitution is attached below along with the current 2018 Constitution. We would be especially grateful if members could review the draft Constitution and raise any queries with the Board or the Club Office well in advance so that refinements can be included.
Resolution:
To adopt an interim Constitution for the Auckland Bridge Club Incorporated under the Incorporated Societies Act 2022 and the Incorporated Societies Regulations 2023. And in addition to authorise the Board to make any minor amendments to the draft as required by members or the Incorporated Societies Register and Charities Register, both managed by the Ministry of Business, Innovation, and Employment.

Under AKBC’s 2018 Constitution the quorum is 35 members so please make special effort to attend as proxy voting is not permitted. The business of the day is limited to adoption by members voting with a show of hands on the interim Constitution. Once that business is complete the Board would be delighted to discuss any other matters and invite members to enjoy complimentary refreshments and snacks.
AKBC also needs to comply with the new laws to proceed with the planned amalgamation with the Remuera Bowling Club. Therefore we shall call a second SGM for amalgamation purposes in mid-2025. This may seem cumbersome but is unavoidable. The Remuera Bowling Club is following a similar process in early May.
